This Photography Release Agreement ("Agreement") is entered into between Brittany Slay / This Little Chapter Photography ("Photographer") and the individual identified below ("Client" or "Subject"). By signing below, Client agrees to all terms and conditions set forth herein.
In consideration of services rendered and for other good and valuable consideration, Client hereby grants Photographer a perpetual, irrevocable, worldwide, non-exclusive, sublicensable license to use, reproduce, edit, crop, retouch, composite, publish, display, and distribute the photographs taken during the session(s) described herein ("Images") — in any medium now known or hereafter developed — for the purposes selected below. This license survives termination of any other agreement between the parties.
Photographer retains full copyright and all intellectual property rights in the Images. Nothing in this Agreement transfers copyright to Client or any third party. Client's personal-use license to the delivered Images does not include the right to resell, sublicense, or submit Images to any third party for commercial purposes without the Photographer's prior written consent.
The Photographer may use the Images for the following purposes as indicated by the Client:
Client retains a personal, non-commercial license to the delivered Images for their own use. This Agreement grants promotional rights to the Photographer only for the uses selected above. Client may submit a written removal request for a specific Image via email to hello@thislittlechapter.com. Photographer will make commercially reasonable efforts to remove the Image from active public display within thirty (30) days; however, removal from third-party platforms, cached pages, published editorial, or contest archives may not be technically feasible and is not guaranteed.
Client agrees that no compensation, royalty, or remuneration of any kind is owed to Client for the Photographer's use of the Images under this Agreement, now or in the future, regardless of the medium or reach of such use.
Client consents to the use of their likeness, name (if selected below), and identifying characteristics in connection with the Images where applicable. Clients who opt out of name attribution will be referenced in general geographic or descriptive terms only (e.g., "Austin portrait session"). This consent extends to any minor subjects for whom Client is signing as parent or legal guardian.
If the Client or any subject photographed is a minor (under 18 years of age), the parent or legal guardian must complete and sign this form on their behalf. By signing, the parent or guardian warrants that they have full legal authority to grant all rights herein on behalf of the minor.
Client represents and warrants that: (a) they are at least 18 years of age or are signing as the legal parent or guardian of a minor subject; (b) they have full legal authority to enter into this Agreement; (c) their execution does not violate any other agreement or obligation; and (d) no consent of any other party is required for this Agreement to be binding.
Photographer's total liability to Client under this Agreement shall not exceed the total session fees paid by Client to Photographer. In no event shall Photographer be liable for any incidental, consequential, indirect, special, or punitive damages of any kind arising from the use of Images under this Agreement, even if advised of the possibility of such damages. Client assumes all risk related to the use of their likeness in publicly distributed Images.
Client agrees to indemnify, defend, and hold harmless Photographer and their agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from any breach of Client's representations and warranties in this Agreement or from any third-party claim related to Client's submission of this form on behalf of another individual.
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-laws principles. Before initiating litigation, the parties agree to attempt resolution through good-faith mediation. Any unresolved disputes shall be subject to the exclusive jurisdiction of the state or federal courts located in Travis County, Texas. The prevailing party shall be entitled to recover reasonable attorneys' fees.
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect. This Agreement constitutes the entire agreement between the parties regarding the promotional use of Images and supersedes all prior discussions, representations, or agreements. It may not be modified except by a written instrument signed by both parties.
For sessions involving group outings, social events, parties, or similar gatherings, Client acknowledges and agrees that: (a) Photographer documents the event as presented and is not responsible for the conduct, actions, or behavior of any third party present during the session; (b) Photographer retains the sole and absolute right to decline to photograph any activity, content, or situation that Photographer determines, in their sole discretion, to be unsafe, inappropriate, unlawful, or in violation of any applicable law, ordinance, or venue policy; (c) Photographer may terminate coverage and leave the session at any time, without refund or liability, if circumstances arise that — in Photographer's sole judgment — involve unlawful conduct by any party, pose a risk to the safety of the Photographer or their equipment, or otherwise compromise the Photographer's ability to perform services consistent with their professional standards; and (d) Client agrees to indemnify, defend, and hold harmless Photographer from any and all claims, penalties, fines, costs, losses, or legal liability of any kind arising out of or related to the conduct of event attendees, conditions at the session location, or any unlawful activity that occurs during or in connection with the session, whether or not Photographer had knowledge of such conduct at the time of the session.
